An asset swap between Chinese online media companies Hurray Holding Co. and Shanda Interactive Entertainment Ltd. will reshape the companies' focus in China's
robust Internet and mobile market.

Hurray has agreed to buy Shanda Interactive's online audio business in exchange for about 415.4 million newly issued shares, while selling Shanda Interactive its core recorded music and wireless services business for $36.9 million. The transaction, which is expected to close in the third quarter, will boost Hurray's share count by 19%.

Companies like Hurray once
primarily provided mobile value-added services such as ring tones, but that business has been a rapidly diminishing business in China. Such services providers have altered their business strategies over the years by moving into other forms of digital media
distribution, and by extending their reach into new services. Hurray, for example, acquired online video
portal Ku6.com last year.

Meanwhile, online media companies like Shanda have been rushing to
expand their reach, including into mobile products and services as the number of people who
access the Internet through their mobile phones in China continues to increase. As of April, China had 786.5 million mobile subscribers, more than any other nation.

'The biggest beneficiary in this deal is [Shanda Interactive],' which is looking to 'diversity the scope of their businesses' and tap into new areas of media, said Guo Chenggang, analyst for
research firm Pacific Epoch. Still, the benefits are not likely to be immediate, Mr. Guo said, because it will 'definitely be longer than just a one-to-two-year endeavor.'

Separately, Nasdaq-listed Shanda Interactive posted a 36% drop in first-quarter net profit to 229.6 million yuan from 361 million yuan a year earlier. Revenue for the quarter rose 19% to 1.32
billion yuan. In dollar terms, Shanda Interactive said net profit was $33.6 million, or 48 cents an American depositary share, compared with $52.8 million, or 78 cents an ADS, a year earlier, on
revenue of $193.1 million.
